一、交貨條款

  TERMS OF DELIVERY

  1.裝船條件:

  Terms of Shipment;

  離岸加運(yùn)費(fèi)價(jià)條款:賣方應(yīng)在本合同第(9)條規(guī)定之時(shí)間內(nèi),將貨物由裝船口岸直接船運(yùn)到中國(guó)口岸,在未經(jīng)征得買方同意前,

  中途不得轉(zhuǎn)船。貨物不得用懸掛買方不能接受國(guó)家的旗幟的船只裝運(yùn)。

  For CFR Terms: The Sellers shall ship the goods within the time as stipulated in Clause (9) of this Contract by

  a direct vessel sailing from the port of loading to China Port. Transhipment enroute is not allowed without the

  Buyers' consent.The goods should not be carried by vessels flying of the countries not acceptable to the Buyers.

  離岸價(jià)條款:

  For FOB Terms:

  (A)裝運(yùn)本合同貨物的船只,由買方或買方運(yùn)輸代理人中國(guó)租船公司(地址:北京、二里溝。電報(bào)掛號(hào):ZHOUGZU PEKING)租定

  艙位。賣放應(yīng)負(fù)責(zé)將所訂貨物在本合同第(9)條規(guī)定的裝船期限內(nèi)按買方所通知的任何日期裝上買方指定的船只。

  The shipping space for the contracted goods shall be booked by the Buyers or the Buyers'shipping agent,China

  National Chartering Corporation (Address: Er LiGou Beijing Cable Address:ZHOUGZU PEKING).The Sellers shall

  undertake to load the contracted goods on board the vessel nominated by the Buyers on any date notified by the

  Buyers, within the time of shipment stipulated in the Clause (9) of this Contract.

  (B)貨物裝運(yùn)前10—15日,買方應(yīng)電告賣方合同號(hào)、船只名稱、船只預(yù)計(jì)到港日期、裝運(yùn)數(shù)量及船運(yùn)代理人的名稱,以便賣方可

  與該船運(yùn)代理人聯(lián)系及安排貨物的裝運(yùn)。賣方應(yīng)將聯(lián)系結(jié)果及時(shí)報(bào)告買方,如買方因故需要變更船只或有關(guān)船只提前或推遲到達(dá)

  情況發(fā)生,買方或船運(yùn)代理人應(yīng)及時(shí)通知賣方。賣方亦應(yīng)與中租代理保持密切聯(lián)系。

  10—15 days prior to the date of shipment,the Buyers shall inform the Sellers by cable if the contract number,

  name of vessel, ETA of vessel, quantity to be loaded and the name of shipping agent, so as to enable the latter to contact the shipping agent directly and arrange the shipment of the goods. The Sellers shall cable in time

  the Buyers of the result thereof. Should,for certain reasons,it become necessary for the Buyers to replace the

  named vessel with another one, or should the named vessel arrive at the port of shipment earlier or later than

  the date of arrival as previously notified to the Sellers, the Buyers or their shipping agent shall advise the

  Sellers to this effect in due time. The Sellers shall also keep close contact with the agent of Zhougzu.

  (C)如買方所訂船只到達(dá)裝港后,賣方不能按買方所通知的時(shí)間如期裝船時(shí),則空艙費(fèi)及滯期費(fèi)等一切費(fèi)用和后果均由賣方負(fù)擔(dān)。

  但如船只臨時(shí)撤換、延期或退關(guān)等情況而未能及時(shí)通知賣方停止發(fā)貨者,在裝港發(fā)生的棧租及保險(xiǎn)費(fèi)損失的計(jì)算,應(yīng)以代理通知之裝船日期(如貨物晚于船代理通知之裝船日期抵達(dá)裝港,應(yīng)以貨物抵港日期)為準(zhǔn),在港口免費(fèi)堆存期滿后第16天起應(yīng)由買方負(fù)擔(dān),人力不可抗拒的情況除外,但賣方仍負(fù)有載貨船只到達(dá)裝港后立即將貨物裝船之義務(wù)并負(fù)擔(dān)費(fèi)用及風(fēng)險(xiǎn)。前述各種有關(guān)費(fèi)用均憑原始單據(jù)核實(shí)支付。

  Should the Sellers fail to load the goods,within the time as notified by the Buyers, on board the vessel booked

  by the Buyers after its arrival at the port of shipment, all expenses such as dead freight, demurrage, etc.,and

  consequences thereof shall be borne by the Sellers. Should the vessel be withdraw or replaced or delayed

  eventually or the cargo be shut out,etc.,and the Sellers be not informed in good time to stop delivery of the

  cargo, the calculation of the loss for storage expenses and insurance premium thus sustained at the loading

  port should be based on the loading date notified by the agent to the Sellers(or based on the date of the arrival

        of the cargo at the loading port in case port in case the cargo should arrive there later than the notified

  loading date).The above-mentioned loss to be calculated from the 16th day after expiry of the free storage time

  at the port should be borne by the Buyers with the exception of Force Majeure. However, the Sellers still

  undertaked to load the cargo immediately upon the carrying vessel's arrivel at the loading port at their own

  risks and expenses. The payment of the afore-said expenses shall be effected against presentation of the original

  vouchers after being checked.

  2.裝船通知:貨物裝運(yùn)完畢后,賣方立即以電報(bào)通知買方合同號(hào)、貨名、所裝數(shù)量或重量、發(fā)票金額、船名、起運(yùn)口岸、開船日期

  及目的口岸。由于賣方不給上述裝船通知電報(bào)而導(dǎo)致買方不能及時(shí)保險(xiǎn)時(shí),則所發(fā)生之一切損失均由賣方負(fù)責(zé)賠償。

        the Buyers by cable of the contract numver, name of goods, quantity or weight loaded, invoice value, name of

  vessel, port of shipment, sailing date and port of destination.

  Should the Buyers be made unable to arrange insurance in time owing to the Sellers' failure to give the above

  mentioned advice of shipment by cable, the Sellers shall be held responsible for any and alll damage and/or loss

  attributable to such failrue.

  3.裝船單據(jù):

  Shipping Documents:

  (A)賣方憑下列單據(jù)向付款銀行議付貨款:

 。╝)填寫通知目的口岸中國(guó)對(duì)外貿(mào)易運(yùn)輸公司分公司的空白抬頭、空白背書的全套已裝船清潔海運(yùn)提單(如系成本加運(yùn)費(fèi)條款則

  注明運(yùn)費(fèi)已付,如系離岸價(jià)條款則注明運(yùn)費(fèi)待收)。(b)已簽署的發(fā)票5份,注明合同號(hào)及裝船碼頭。(c)注明尺碼的裝箱單/或

         重量單2份。(d)本交貨條款第5條規(guī)定的品質(zhì)檢驗(yàn)證明書及數(shù)量或重量證明書各1份。(e)本交貨條款第2條規(guī)定的裝船港通知電報(bào)

  副本1份。

  The Sellers shall present the following documents to the paying bank for negotiation of payment:(a)Full set of

  clean on board,"freight prepaid" for C﹠F Terms or "freight to collect" for FOB Terms, ocean Bills of Lading ,

  made out to order and blank endorsed, notifying the Branch of China National Foreign Trade Transportation

  Corporation at the port of destination.(b) Five copies of signed invoice,indicating contract number and shipping

  marks.(c)Two copies of packing list and/or weight memo with indication of measurement.(d)One copy each of the

  certificates of quality and quantity or weight, as stipulated in the Clause 5 of the Terms of Delivery.(e) One duplicate copy of the cable advice of shipment,as stipulated in the Chause 2 of the Terms of Delivery.

  (B)賣方需將提單、發(fā)票及裝箱單副本各1份隨船帶交目的口岸買方收貨代理人中國(guó)對(duì)外貿(mào)易運(yùn)輸公司分公司。

  The Sellers shall despatch,in care of the carrying vessel, one copy each of the duplicates of Bill of Lading,

  Invoice and Packing List to the Buyers receiving agent,the Branch of China National Foreign Trade Transportation

  Corporation at the port of destination.

  (C)船啟航后立即將1份全套單據(jù)副本航空郵寄買方,另2份航空郵寄目的口岸的中國(guó)對(duì)外貿(mào)易運(yùn)輸公司分公司。

  Immediately after the departure of the carrying vessel,the Sellers shall airmal one set of the duplicate documents

  to the Buyers and two sets to the Branch of China National Foreign Trade Transportation Corporation at the

  port of destination.

        4.危險(xiǎn)品說(shuō)明書:凡屬危險(xiǎn)品及/或有毒貨物,賣方必須提供其危險(xiǎn)或有毒性質(zhì)、運(yùn)輸、倉(cāng)儲(chǔ)及裝卸注意事項(xiàng)和急救、防治、

  消防方法的說(shuō)明書,將此項(xiàng)說(shuō)明書隨同裝船單據(jù)航空郵寄給買方及目的口岸的中國(guó)對(duì)外貿(mào)易運(yùn)輸公司分公司各3份。

  Dangerous Cargo Instruction Leaflets:For dangerous and/or poisonous cargo,the Sellers must provide instruction

  leaflets stating the hazardous or poisonous properties,transportation,storage and handling remarks, as well as

  precautionary and first-aid measures and measures against fire. The Sellers shall airmail, together with other

  shipping documents, three copies each of the same to the Buyers and the Branch of China National Foreign Trade

  Transportation Corporation at the port of destination.

  5.商品檢驗(yàn):雙方同意以制造廠出具之品質(zhì)及數(shù)量或重量檢驗(yàn)證明書作為賣方向付款銀行議付貨款單據(jù)之一。但貨物的品質(zhì)及數(shù)量

  或重量的檢驗(yàn)應(yīng)按下列規(guī)定辦理:

        Inspection: It is mutually agreed that the certificates of quality and quantity or weight issued by the

  Manufacturer shall be part of the documents to be presented to the paying bank for negotiation of payment.

  However,the inspection of quality and quantity or weight shall be made in accordance with the following:

 。ˋ)一般貨物:貨到目的口岸60天內(nèi)經(jīng)中國(guó)商品檢驗(yàn)局復(fù)驗(yàn),如發(fā)現(xiàn)品質(zhì)或數(shù)量或重量與本合同規(guī)定不符時(shí),除屬于保險(xiǎn)公司或

  船方負(fù)責(zé)者外,買方憑中國(guó)商品檢驗(yàn)局出具的檢驗(yàn)證明書向賣方提出退貨或索賠。因退貨或索賠引起的一切費(fèi)用(包括檢驗(yàn)費(fèi))

  及損失均由賣方負(fù)擔(dān)。在此情況下,凡貨物適于抽樣者,如賣方要求,買方可將樣品寄交賣方。

  For General Cargo: In case the quality,quantity or Weight of the goods be found not in conformity with those

  stipulated in this Contract after re-inspection by the china Commodity Inspection Bureau within 60 days after

  arrival of the goods at the port of destination, the Buyers shall return the goods to or lodge claims against the

        Sellers for compensation of losses upon the strength of Inspection Certificate issued by the said Bereau,

  with the exception of those claims for which the insurers or owners of the carrying vessel are liable. All

  expenses (including inspection fees) and losses arising from the return of the goods or claims should be borne

  by the Sellers. In such case, the Buyers may, if so requested, send a sample of the goods in quetion to the

  Sellers, provided that sampling is feasible.

  (B)醫(yī)藥商品:進(jìn)口的醫(yī)藥商品應(yīng)受中華人民共和國(guó)法律及規(guī)章的約束,凡不合格的醫(yī)藥商品不準(zhǔn)進(jìn)口。雙方同意本合同所訂立此

  類商品之品質(zhì)應(yīng)以貨物到達(dá)目的口岸后90后內(nèi)經(jīng)中國(guó)商品檢驗(yàn)局檢驗(yàn)并以該局所簽發(fā)之檢驗(yàn)證為最后依據(jù),雙方均遵守之。不合

  格貨物賣方應(yīng)予收回,并賠償買方貨款及因退貨而遭受的運(yùn)輸、儲(chǔ)藏、利息、檢驗(yàn)等費(fèi)用損失。如中國(guó)商品檢驗(yàn)局檢驗(yàn)數(shù)量或重

        量與本合同規(guī)定不符時(shí),買方有權(quán)在貨物運(yùn)抵目的地口岸60天內(nèi)憑中國(guó)商品檢驗(yàn)局的檢驗(yàn)證向賣方提出索賠。

  For pharmaceutical: Pharmaceutical imported into China are subject to laws and regulations of the People's Republic of China. Disqualitied pharmaceutical are prohibited to be imported. It is mutually agreed that for the quality of the contracted goods in this category, the Inspection Certificate issued by the China Commodity Inspection Bureau after inspection the goods within 90 days from the date of arrival at the port of destination shall be taken as final and binding upon both parties. The Sellers shall take back all the disqualified goods and compensate the Buyers for the value of the goods plus all losses sustained due to return of the cargo, such freight, storage charges, insurance premium, interest, inspection charges, etc.Should the quantity/weight be found not in conformity with those stipulated in this Contract after inspection by the China Commodity with those stipulated in this Contract after inspection by the China Commodity Inspection Bureau, the Buyers shall have the right to claim against the Sellers for compensation of losses within 60 days after the arrival of the goods at the port of destination on the basis of the Inspection Certificate issued by the said bureau

  6.人力不可抗拒:由于一般公認(rèn)的人力不可抗拒原因而不能交貨或裝船遲延,賣方不負(fù)責(zé)任。但賣方必須在事故發(fā)生時(shí)立即電告

  買方并在事故發(fā)生后15天內(nèi)航空郵寄給買方災(zāi)害發(fā)生地點(diǎn)之有關(guān)政府機(jī)關(guān)或商會(huì)所發(fā)給的證件證實(shí)災(zāi)害存在。除因不可抗力致裝

  船遲延或不能交貨外,如賣方不能按合同規(guī)定期限內(nèi)裝船,則需要賠償買方直接由于遲期交貨或不能按合同條件交貨所遭受之一

  切損失及費(fèi)用。人力不可抗拒事故如繼續(xù)存在60天以上時(shí),買方有權(quán)撤銷合同或合同中未裝運(yùn)部分。

  Force Majerue: The Sellers shallnot be held responsible for late delivery or non-delivery of the goods owing to generally recognized "Force Majerue"causes. However,in such case,the Sellers shall immediately cable the Buyers

  the accident and airmail to the Buyers within 15 days after the accident, a certificate of the accident issued by

  the competent government authorities or the chamber of commerce which is located at the place where the accident

  occurs as evidence thereof. With the exception of late delivery or non-delivery due to "Force Majeure"causes, in

  case the Sellers fail to make delivery within the time as stipuated in the contract,the Sellers should indemnify

  the Buyers for all losses and expenses incurred to the latter directly attributable to late delivery or failure to make delivery of the goods in accordance with the terms of this contract.If the "Force Majeuer"cause lasts over

  60 days, the Buyers shall have the rigt to cancel the Contract or the undelivered part of the Contract.

  7.仲裁:一切因執(zhí)行本合同所發(fā)生與本合同有關(guān)之爭(zhēng)執(zhí),雙方應(yīng)友好協(xié)商解決。如雙方協(xié)商不能解決時(shí),此爭(zhēng)執(zhí)應(yīng)提交中國(guó)國(guó)際貿(mào)

  易促進(jìn)委員會(huì)對(duì)外貿(mào)易仲裁委員會(huì), 按照該仲裁委員會(huì)仲裁程序暫行規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國(guó)北京。仲裁委員會(huì)的裁決為

  終局裁決,對(duì)雙方均有約束力,對(duì)仲裁費(fèi)用除非仲裁委員會(huì)另有決定外,均由敗訴一方負(fù)擔(dān)。

  Arbitration: All disputes in connection with this Contract or the execution there of shall be amicably settled

  through negotiation. In case no settlement can be reached between the two Parties, the case under dispute shall

  be submitted to the Trade Arbitration Commission of the China Council for the Promotion of International Trade for arbitration. The arbitration shall take place in Beijing,china and shall be executed in accordance with the

  Provisional Rules of Procedure of the said Commission and the decision made by the Arbitration Commission shall

  be accepted as final and binding upon both parties. The fees for arbitration shall be borne by the losing Party

  unless otherwise awarded.
